These Terms of Service (“Terms”) establish a legal agreement between HOA CTA Filing, a company based in Salt Lake City, Utah (“Company”), and you, the individual or entity agreeing to these Terms (“you”). If you represent a business, law firm, accounting firm, homeowners association (HOA) management company, or another professional services firm (“Professional Service Firm”), or if you are a professional filing service (“Professional Filer”) or a client of such firms authorized to use the Service on your behalf (“Client User”), these Terms apply to your organization or individual use.These Terms also govern your use of any software, video, text, data, information, graphics, and other proprietary content (“Materials”) provided by us or our affiliates, as well as any services through our website (“Site”). Collectively, the Site, Materials, and services are referred to as the “Service.” By clicking “I Agree” or otherwise accepting these Terms, you agree to be bound by them. If you disagree, please do not accept or use the Service.
I. The ServiceThe Service enables online filings under the Corporate Transparency Act (CTA) for HOA management companies, law firms, accounting firms, professional filers, and other entities. Our online platform assists users in submitting CTA filings with convenience. Note, however, that we are not a law firm, accounting firm, or government agency.Starting January 1, 2024, CTA filings are required by the Financial Crimes Enforcement Network (FinCEN), part of the U.S. Department of the Treasury. Information submitted through the Service will be forwarded directly to FinCEN.Disclaimer: The Service is not a source of financial, legal, or regulatory advice. II. Modifications(a) Modifications to the Terms: We may change, update, or modify these Terms at any time. If you do not agree to updated Terms, you should discontinue using the Service. Prepaid users can contact us with concerns or request a refund; otherwise, original Terms may remain until the prepaid services are used.(b) Changes to the Service: We reserve the right to modify or discontinue the Service without notice. If you object, your option is to cease using the Service. We are not liable for any changes, suspensions, or discontinuations.
III. PrivacyYour use of the Service is subject to our Privacy Policy, which outlines how we handle your information.
IV. Users of the Service(a) Business Filers: If filing on behalf of a business, you are responsible for accurate and timely submissions to FinCEN, as the Service depends on your information.(b) Professional Service Firms and Filers: When filing for clients, ensure all information is complete, and comply with relevant laws and confidentiality obligations. Represent that you are authorized to share client information with us.
V. Use of the Service(a) License: We grant a limited, non-transferable license to use the Service solely for making CTA filings for yourself or, if applicable, on behalf of clients.(b) Restrictions: You may not reproduce, modify, distribute, reverse engineer, or use the Service for unauthorized purposes.(c) Account Registration: To access certain features, you must register. You are responsible for maintaining account confidentiality and activities under your account.
VI. Purchases and RefundsRefund requests must be made before submitting any CTA filing. No refunds after a filing is completed. All sales are final.
VII. PaymentsYou agree to pay all applicable fees for using the Service. We may suspend access if payments are not made timely.
VIII. ConductYou agree not to provide false information or engage in activities that interfere with the Service’s functionality. We may terminate access for inappropriate conduct.IX. FeedbackFeedback provided to us is non-confidential, and we may use it for any purpose without compensation.
X. Intellectual Property Rights(a) License for Content: By submitting content to the Service, you grant us a license to use it as needed for the Service’s operation.(b) Monitoring: We may monitor and remove content to comply with laws or these Terms.XI. Term and TerminationThese Terms remain effective as long as you use the Service. We may suspend your account for any reason. Upon termination, stop using the Service and destroy any downloaded materials.
XII. Third-Party LinksThe Service may link to third-party websites. We are not responsible for these sites’ content or practices.
XIII. Disclaimer of WarrantiesThe Service is provided “AS IS,” with no guarantee of uninterrupted or error-free access.
XIV. Limitation of LiabilityWe are not liable for indirect, incidental, or punitive damages. Our liability is limited to the fees paid in the prior six months.
XV. IndemnityYou agree to indemnify us against claims from your use of the Service.
XVI. Local LawsYou are responsible for following local laws when using the Service outside the United States.
XVII. Dispute Resolution and ArbitrationAll disputes will be resolved by arbitration in Salt Lake City, Utah.
